Terms of Service
These terms are the agreement between you and Up Your Game LLC for Lemoney: the website, the Lab, saved and shared portfolios, company reports, and any API, MCP server, documentation or export we offer (together, the Service). By creating an account, subscribing, or using the Service in any way, you accept them. If you do not accept them, do not use the Service. If you accept on behalf of a company, you confirm you are authorised to bind it.
1. Who you are contracting with
Lemoney is a product of Up Your Game LLC. References to “we”, “us” and “our” mean Up Your Game LLC. “You” means the person or company using the Service.
2. What the Service is
The Service is a software and research tool. It lets you run historical backtests of portfolios, compute portfolio weights under a mathematical objective you choose, save and publish portfolios, and read statistics and reports computed from market data and public filings.
We are not a broker, dealer, exchange, custodian, bank, investment adviser, financial adviser, financial planner, portfolio manager or rating agency. We do not hold your money or your investments, we do not place or execute trades, and we do not manage any account for you.
3. Not investment advice
Nothing on the Service is investment, financial, tax, accounting or legal advice, a recommendation, a solicitation, or an offer to buy, sell or hold any security, fund or other financial instrument. That includes backtests, optimized weights, allocations, rankings, scores, statistics, charts, example and classic portfolios, portfolios published by other users, company reports, and anything produced by an AI assistant using the Service.
Words such as “best”, “optimal” or “for you” describe the result of a calculation: the weights that scored highest on the objective and inputs you chose, over a past period. They are not a judgement that a portfolio is suitable for you. The Service does not know your finances, goals, tax position, time horizon or tolerance for loss, and nothing on it takes them into account, even where you enter inputs yourself.
We are not licensed or registered with the UAE Securities and Commodities Authority, the Dubai Financial Services Authority, the United States Securities and Exchange Commission, or any other financial regulator, and we do not provide regulated financial services. No fiduciary, advisory or client relationship exists between you and us. Every investment decision is yours alone. Speak to a licensed professional in your own jurisdiction before making one. Investing involves risk, including the loss of everything you invest.
4. Backtests and optimizations are hypothetical
Every return, growth figure, drawdown, ratio and chart on the Service is hypothetical past performance. No one actually held these portfolios and earned these results. Past performance, real or simulated, does not predict future results.
Simulated results have limits that real results do not. In particular:
- they are computed with hindsight, and optimized weights are chosen because they worked well over the very period being shown, so they will usually look better than the same weights would perform afterwards;
- unless the Service says otherwise, they ignore trading costs, fees, taxes, spreads, slippage, borrowing and financing costs, and the practical difficulty of trading at the prices used;
- they rely on simplifying assumptions, such as periodic prices, reinvested dividends and rebalancing on a schedule, that a real account would not match exactly;
- they depend on the instruments, dates and history available, which may be incomplete, adjusted, or affected by instruments that no longer exist.
5. No warranty
To the extent the law allows, the Service is provided as is and as available, without warranty of any kind, whether express, implied or statutory, including any warranty of merchantability, fitness for a particular purpose, accuracy, completeness, timeliness, non-infringement, or that the Service will be uninterrupted or free of errors.
We do not warrant that any figure, calculation or result is accurate, complete or current. Market data contains errors and gaps, filings are amended and restated, and our software can contain errors. You are responsible for checking any figure independently before you rely on it. You confirm that you have not relied on any statement about the Service that is not written in these terms, including anything on our marketing pages, in social media posts, or in support replies.
6. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract.
- You may not use the Service if you are subject to sanctions, or from a country or region where using it would be unlawful. You are responsible for complying with the laws that apply to you.
- One account per person. Give an accurate email address and keep it current: it is how you sign in and how we reach you.
- You are responsible for everything done through your account and any API key issued to it, including by anyone you let use them. Keep access to your email and any key secret, and tell us promptly at hello@lemoney.money if you think either has been compromised.
7. Acceptable use
You agree not to:
- use the Service in breach of any law, including securities, sanctions and data protection law;
- scrape, crawl, bulk download or systematically extract data from the Service, or use it to reconstruct, reverse engineer or recover prices, return series or other underlying market data, by any means including repeated or varied requests;
- access the Service by automated means other than an API or MCP server we provide, used within its limits and with your own key;
- circumvent rate limits, plan limits, authentication or any other technical control, including by opening more than one account;
- resell, sublicense or redistribute the Service or its data as a data feed, or use it to build a competing product;
- copy, decompile or reverse engineer the software, or probe, scan, load test or disrupt the Service or its infrastructure;
- present results from the Service as real, audited or verified performance, as an endorsement by us, or as personalised advice to anyone else;
- use the Service, or anything you publish on it, to promote a security in which you have an undisclosed interest, to manipulate a market, or to market a paid investment service or product.
8. Market data and third parties
Prices and related market data used by the Service are licensed from third-party providers. That data belongs to them. You receive only the computed results the Service displays, and no right to the underlying data. A provider may require us to change, restrict or remove data or features at any time, and we may do so without liability to you. Our data providers make no warranty to you and have no liability to you.
Company filings are published by the United States Securities and Exchange Commission and are public domain under 17 U.S.C. § 105. We are not affiliated with, endorsed by or approved by the SEC, any exchange, any data provider, or any company, fund or index the Service mentions. Names and tickers are used only to identify instruments. Links to other sites are for convenience and are not endorsements.
9. Your portfolios and what you publish
- Portfolios you build, and the names and descriptions you give them, are yours. You grant us a worldwide, royalty-free, non-exclusive licence to store, process, reproduce and display them to operate, improve and promote the Service.
- A portfolio stays private unless you choose to publish it. When you publish one, anyone may see it, open it, copy it and re-run it, and it may appear in lists, search results and share previews. Making it private or deleting it later stops us showing it, but cannot recall copies other people already made or links already shared.
- You are responsible for what you publish. Do not put personal information, offensive material, or anything you do not have the right to share in a name or description, and do not publish a portfolio in breach of clause 7.
- We do not review, verify, rank on merit or endorse any published portfolio, including portfolios we publish as examples or classics. The order of a list is the sort you chose, not a recommendation. Relying on a portfolio someone else published is at your own risk.
- We may hide, make private or remove any portfolio or content at any time, for any reason, without notice.
- If you send us feedback or ideas, we may use them freely and without paying you.
10. Plans, trials, renewal and cancellation
- Free plan. The free plan and its limits may be changed, reduced or withdrawn at any time.
- Subscriptions renew automatically. A paid plan is billed in advance, at the price shown when you subscribe, for each monthly or yearly period, and renews for the same period until you cancel. Payments are processed by Stripe. You authorise us to charge your payment method at the start of each period.
- Trials. If checkout shows a trial or a first charge date, you will not be charged before that date. Unless you cancel before it, your subscription starts and your payment method is charged automatically on that date and at every renewal after it.
- Cancelling. You can cancel at any time from your account page. Cancellation takes effect at the end of the current paid period, and you keep paid features until then. After that, your account moves to the free plan and its limits, which may make some saved portfolios read-only or private.
- Refunds. Payments are non-refundable, including for partial periods and unused features, except where the law requires a refund or we choose to give one.
- Price changes. We may change prices with at least 30 days’ notice by email. A new price applies from your next renewal after the notice period, and you can cancel before it applies.
- Taxes. Prices exclude VAT, sales tax and similar taxes, which are added where they apply.
- Failed payments. If a payment fails, we may retry it, and may suspend paid features or move your account to the free plan until it succeeds.
11. Intellectual property
We and our licensors own the Service: the software, the engine, the compiled data, the design, the documentation and the Lemoney name and marks. Subject to these terms and to any fees due, we grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service for your own research and within your plan’s limits. We grant no other rights.
12. Limitation of liability
To the extent the law allows, we are not liable for any trading or investment loss, any decision you make or do not make using the Service, any loss of profit, revenue, savings, opportunity, goodwill or data, or any indirect, incidental, special, consequential, exemplary or punitive damages, however caused and even if we were told they were possible.
To the extent the law allows, our total liability to you for all claims arising out of or relating to the Service or these terms, whether in contract, tort (including negligence), statute or otherwise, is limited to the greater of the fees you actually paid us for the Service in the twelve months before the event giving rise to the claim, and US $100.
These limits apply even if a remedy fails of its essential purpose. They reflect an allocation of risk that the prices of the Service depend on. Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or any other liability that cannot lawfully be limited.
13. Indemnity
To the extent the law allows, you will indemnify and hold harmless Up Your Game LLC and its owners, officers and contractors against any third-party claim, and the losses, costs and reasonable legal fees that follow from it, arising from your breach of these terms, your breach of any law, anything you publish on the Service, or any product, service, content or advice you provide to others using the Service.
14. Availability and changes to the Service
We do not promise any level of uptime, response time or data freshness. We may add, change, limit or remove any feature, instrument, data source, method or plan limit at any time, including to meet the terms of a data licence. Where a change removes a paid feature you rely on, we will try to tell you in advance. We are not liable for delays or failures caused by events outside our reasonable control, including failures of data providers, hosting and payment providers, networks, or government action.
15. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or close your account, or remove access to any part of the Service, at any time, with notice where practical and immediately where we think it necessary, including if you breach these terms, if your use creates risk or cost for us, other users or our data providers, or if the law requires it. If we close a paid account for no fault of yours, we will refund the unused part of the current period. We may delete the content of a closed account.
Clauses 3, 4, 5, 8, 9, 11, 12, 13, 18 and 19, and any payment obligation already accrued, survive the end of these terms.
16. Privacy
How we handle personal data is described in the Privacy Policy.
17. Changes to these terms
We may update these terms. The effective date at the top of this page shows the current version. For a change that materially reduces your rights, we will give account holders at least 30 days’ notice by email, and you can close your account or cancel before it applies. Continuing to use the Service after a change applies means you accept it. For accounts opened before 2026-09-15, anything in this version that narrows their rights under the previous version applies from 2026-10-16.
18. Governing law and disputes
These terms, and any dispute or claim arising out of or in connection with them or the Service, including non-contractual ones, are governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Sharjah, without regard to conflict of law rules. The courts of the Emirate of Sharjah have exclusive jurisdiction, and you and we submit to it.
Before starting any claim, you agree to email legal@lemoney.money describing it and to allow 30 days to resolve it informally. To the extent the law allows, a claim must be brought within one year of the event giving rise to it, and disputes are resolved individually: you and we each waive any right to bring or take part in a class, collective or representative action.
If you use the Service as a consumer, nothing in this clause removes a protection that the law of the country where you live gives you and that cannot be excluded by contract, including any right to bring a claim in your local courts.
19. General
- Entire agreement. These terms and the Privacy Policy are the whole agreement between us about the Service and replace anything said before.
- Severability. If any part of these terms is unenforceable, it is limited to the minimum extent necessary and the rest stays in force.
- No waiver. Not enforcing a right is not a waiver of it.
- Assignment. You may not transfer these terms without our written consent. We may transfer them to an affiliate or to a successor of the business.
- Notices. We give notice by email to the address on your account or by posting on the Service. You give notice to legal@lemoney.money.
- No third-party rights. No one other than you and us may enforce these terms, except that our data providers may rely on clause 8.
- No partnership. Nothing here creates a partnership, joint venture, agency, fiduciary or employment relationship.
- Language. These terms are written in English. If a translation conflicts with them, the English version governs, except where local law requires otherwise.
